Terms of Service

1. Acceptance of Terms

By accessing or using CapEx Impact ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms apply to all users, including visitors, registered users, and paying customers.

2. Description of Service

CapEx Impact is a web-based software tool that helps engineering and finance teams analyze software development work for GAAP R&D capitalization purposes. The Service allows users to upload CSV exports from project management tools, classify development work, calculate estimated capitalized costs, and export reports.

The Service is provided for informational and analytical purposes only. Output from CapEx Impact does not constitute accounting, tax, legal, or financial advice. You should consult a qualified professional before making capitalization decisions.

3. Accounts and Registration

You must create an account to use the Service. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to provide accurate, current, and complete information during registration and to keep that information updated.

You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or your organization.

4. Payments and Credits

CapEx Impact offers both one-time credit purchases and subscription plans. All payments are processed securely through Stripe. Prices are listed in US dollars.

  • Credits are consumed when you run an analysis. Credits do not expire but are non-refundable once used.
  • Subscriptions renew automatically at the end of each billing period. You may cancel at any time; cancellation takes effect at the end of the current billing period.
  • Refunds for unused credits or subscriptions may be requested within 7 days of purchase by contacting support. We reserve the right to deny refund requests at our discretion.

5. Your Data

You retain ownership of all data you upload to the Service ("Your Content"), including CSV files and analysis configurations. By uploading data, you grant CapEx Impact a limited license to process and store that data solely to provide the Service to you.

We do not sell, share, or use Your Content for any purpose other than operating and improving the Service. You are responsible for ensuring you have the right to upload any data you submit.

6. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any regulations
  • Attempt to reverse engineer, decompile, or extract the source code of the Service
  • Use automated scripts to access the Service in a manner that places excessive load on our infrastructure
  • Share your account credentials with others
  • Attempt to circumvent credit or subscription billing mechanisms
  • Upload malicious files or content intended to harm the Service or other users

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT THE RESULTS OBTAINED FROM USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE.

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, CAPEX IMPACT AND ITS OWNERS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

9. Termination

We reserve the right to suspend or terminate your account at any time for violation of these Terms or for any other reason at our sole discretion. You may delete your account at any time by contacting us. Upon termination, your right to use the Service ceases immediately.

10. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the new Terms on this page and updating the effective date. Continued use of the Service after changes constitutes acceptance of the updated Terms.

11. Governing Law

These Terms are governed by the laws of the United States. Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration or in the courts of competent jurisdiction.
